Terms of service.
Last updated April 1, 2026. These terms govern the use of sidient.com and any services we provide under a separate order form or SOW.

Acceptance of terms
By accessing sidient.com or engaging Sidient LLC for services, you agree to these Terms. If you do not agree, do not use the site or our services.

Services
We provide design, engineering, automation, and AI services as described in individual statements of work or order forms. The specifics of any engagement (deliverables, timelines, payment terms) are governed by that document. These Terms apply where the SOW is silent.

Fees and payment
Fees, deposits, and payment schedules are set out in the applicable order form or SOW. Invoices are due net 14 unless otherwise agreed in writing. Late balances accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

Intellectual property
On full payment, the client receives a worldwide, perpetual license to the deliverables produced under the engagement, sufficient for ordinary business use. Sidient retains rights in our pre-existing tools, frameworks, and components, and may reuse non-confidential techniques and learnings on other engagements.

Confidentiality
Each party agrees to keep the other party's confidential information secret and to use it only to perform under the engagement. Confidentiality survives termination for three years.

Warranty and disclaimers
Sidient performs services in a professional manner consistent with industry standards. Except as expressly stated, we provide services on an "as-is" basis and disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.

Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Sidient's total liability under any engagement is limited to the fees paid by the client in the 12 months preceding the event giving rise to the claim.

Termination
Either party may terminate an engagement for material breach with 14 days' written notice if the breach is not cured. Fees for work performed up to termination are due in full. Either party may terminate immediately for insolvency or cessation of business.

Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Wilmington, Delaware.
